Terms of service
These terms are an agreement between you and Teryli Systems LLC, the company that makes Withstead. They cover this website now, and they will cover the Withstead phone companion when invitation access opens. Please read them before you join the launch list or use anything here.
Plain-language summary, which is not a substitute for the terms below: you place your own calls, you are responsible for getting the other person's agreement before Fred listens or speaks, Fred is not allowed to commit you to anything, and you should not give the service health or financial information.
Who we are
Withstead is a product of Teryli Systems LLC, a Florida company. In these terms, "we" and "us" mean Teryli Systems LLC, and "you" means the person using the site or the product. Write to [email protected] with any question about these terms.
What Withstead is right now
This website is live. The launch list is open. The phone companion is not generally available yet: invitation access has not opened, and calling features are disabled. Target launch is October 1, 2026, and it is a target rather than a promise. These terms describe what will apply when access opens; nothing here obligates us to open access, to invite any particular person, or to keep any feature.
Join the launch list and you may receive an invitation. An invitation is not a subscription, and nothing is charged until you choose a plan and complete checkout.
Who may use it
You must be at least 18, be able to enter a binding agreement, and use the service from the United States. These terms are written for United States use only; the product is not offered for calls to numbers outside the United States.
Your call, your responsibility to get agreement
You place the call. Withstead never dials on its own, never places calls from a list, and never retries a call for you.
Before Fred listens or speaks on a call, everyone on that call has to agree. You are responsible for obtaining that agreement and for making the disclosure yourself, out loud, in your own words, on every call. By using the product on a call you represent that you have done it. If someone objects, or changes their mind partway through, Fred comes off the call. State law varies, and some states require every party's agreement; you are responsible for complying with the law that applies to your call, and our product is designed to assume the strictest standard so that a single, simple disclosure works everywhere in the United States.
Do not use Withstead to call anyone covertly, to call anyone who has declined, or on a call where the other person cannot give informed agreement.
What Fred is and is not authorized to do
Fred is an AI call companion. Depending on the mode you choose, Fred may listen to the call, and may speak either to everyone on the call or only to you.
Fred is never authorized to commit you to anything. Specifically, Fred will not state a price, agree to terms, confirm or schedule a date, make an offer, give legal, medical, tax, or financial advice, or act as a negotiator on your behalf. When asked something outside the facts you approved, Fred defers to you rather than guessing.
Fred is a language model and language models make mistakes, mishear, and occasionally produce a confident sentence that is wrong. Only you can bind yourself, and only you can decide what is true. Treat anything Fred says as a draft you should check, not as a source of truth. We do not warrant that any call will reach any particular outcome.
Not for emergencies, and not for health or money details
Withstead is not an emergency service. If you or someone else is in danger, call 911. Withstead is not a medical service, does not provide clinical care, and does not store clinical records. Do not use it for calls involving medical or mental-health information, insurance claims, financial accounts, money movement, payments, or collections. Do not put health information or account credentials into a brief, a note, or a chat with Fred.
What you give the service
You may give the service context to work from — notes, documents, dates, and the facts you approve for Fred to read back. You keep whatever rights you have in that material; you give us permission to process it only to operate the service for you, including sending it to the providers described in our privacy notice. You are responsible for the accuracy of what you provide and for having the right to provide it. Do not upload anyone else's information that you are not allowed to share.
Fees, billing, cancellation and refunds
Access is sold as a monthly subscription, as a one-time pack of minutes, or both; current prices are on the pricing page. A pack is valid for twelve months from purchase, is never bought or renewed automatically, and can be refunded within 14 days of purchase if none of its minutes have been used. The price, the minutes included, and the price of any additional minutes are shown to you before you pay, and you are never charged automatically for extra minutes. Subscriptions renew monthly until you cancel.
You can cancel at any time, and cancellation stops the next renewal. A cancelled month is not prorated: you keep access through the end of the month you already paid for, and we do not refund part of it. If a call fails or is billed wrongly because of the service, we credit the minutes; you do not have to ask. Beyond that, if something went wrong, write to us — we can issue a goodwill refund of up to one month's subscription at our discretion. Nothing in this section limits a refund or cancellation right you have under the law that applies to you.
Acceptable use
Your use of Withstead is also governed by our acceptable use policy. It is part of these terms.
Availability, changes, and ending the service
We do not promise uninterrupted availability or any particular uptime, and the service may be unavailable while we work on it. We may change, pause, or discontinue features. If we discontinue the service entirely, we will stop charging you and refund the unused portion of the month you are in. We may suspend or end your access if you break these terms, if your use creates risk for us or for other people, or if the law requires it. You may stop using the service, and cancel, at any time.
Disclaimers
The service is provided as-is and as-available, without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that Fred will understand the call correctly, that a counterparty will react as you hope, that a transcript or summary will be complete, or that the service will be free of errors or interruptions. Nothing we say on this website is a promise about a call outcome.
Limitation of liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost opportunities, or lost data, arising out of or relating to the service. To the maximum extent permitted by law, our total liability for any claim relating to the service is limited to the amount you paid us in the three months before the event that gave rise to the claim.
Some places do not allow certain limitations or exclusions, so parts of this section may not apply to you. Nothing in these terms excludes or limits liability for fraud, for intentional wrongdoing, or for anything else that cannot lawfully be excluded or limited.
Responsibility for claims arising from your calls
If a third party brings a claim against us because of a call you placed — including a claim about consent, recording, disclosure, or something Fred said at your invitation — you agree to cover our reasonable costs of defending it and any amounts we are ordered to pay, to the extent the claim arises from your use of the service or from your failure to follow these terms or the law. We will tell you promptly about any such claim. This does not apply to a claim that arises from our own wrongdoing.
Governing law
These terms are governed by the laws of the State of Florida, without regard to its conflict-of-law rules, and the state and federal courts located in Florida are the venue for any dispute — except that either of us may bring a claim in small claims court, and nothing here prevents you from bringing a claim in a court that has jurisdiction over us where the law requires it. We do not require you to arbitrate.
Changes to these terms
We will publish a new version with a new date when these terms change, and we will point out material changes on this page. If you keep using the service after a change takes effect, the new version applies.
